Terms & Conditions - Ax-iom Technologies India (B2B)

These Terms & Conditions govern the business relationship between Ax-iom Technologies India ("we", "us", or "the Company") and any business client ("you" or "Client") that engages us for IT products and services. By issuing a Purchase Order (PO), signing a quotation, or instructing us to proceed with work, you accept these Terms.

1. Scope of Services

We provide B2B IT products and services, including supply of hardware/software, implementation, configuration, and technical support, as mutually agreed and documented in POs, quotations, or engagement emails.

2. Quotations and Orders

Quotations are valid for the period stated and are not binding until accepted by a formal Purchase Order or written confirmation. We reserve the right to refuse, modify, or cancel any order where stock, technical feasibility, or credit risk is a concern.

3. Pricing and Payment

Prices are exclusive of applicable taxes, duties, and other statutory charges unless otherwise stated. Payment terms will be specified in the PO or quotation. Late payments may incur interest as permitted by Indian law.

4. Delivery and Installation

Delivery and installation timelines depend on product availability, site readiness, and coordination with the Client. Risk of loss or damage to products passes to the Client on delivery or as documented in the delivery note.

5. Warranty and Support

Hardware and software warranties follow the original manufacturer's terms. We act as channel partner and facilitator; any additional support is provided as per mutually agreed service terms or separate agreements.

6. Limitation of Liability

To the extent permitted by Indian law, our aggregate liability arising from any contract, order, or engagement shall not exceed the amount paid by the Client for the relevant order or service. We shall not be liable for indirect, consequential, or punitive damages.

7. Governing Law

These Terms are governed by Indian law. Any dispute arising from or related to our business relationship shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
